By signing up, accessing, or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

Ownership and Usage Rights

The software, models, documentation, and related intellectual property (the “Software”) are the exclusive property of InsightVault AI Inc.

You may not copy, modify, distribute, sublicense, resell, or exploit any part of the Software without prior written consent from InsightVault AI Inc.

Unauthorized use, reproduction, or distribution may result in civil and criminal penalties, prosecuted to the maximum extent allowed by law.

Service Usage and Limits

●  Usage Caps: Your account is subject to plan-specific limits (e.g., tokens, requests per minute/month, concurrency).

●  Model-Specific Restrictions: Certain models may have stricter limits.

●  Overages: If enabled, overage usage is billed at the then-current rate; otherwise, service access may pause until the next billing cycle or plan upgrade.

●  Fair Use: We may restrict abusive, anomalous, or automated traffic to preserve service stability.

Security & Privacy

●  Data Privacy – Your data remains private and under your control. We do not share customer data with third parties.

●  Access Controls – We do not access logs or chats when deployed in your environment.

●  Encryption – All communication is encrypted using industry-standard protocols.

●  No Marketing Use – Customer data is never shared for marketing or promotional purposes.

●  Deployment Options – Public Cloud, Private Cloud, and On-Premises hosting are supported.

●  Compliance – GDPR compliant; SOC 2 certification in progress. Additional compliance needs may be addressed during onboarding.

Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to the services with or without cause, and with or without notice.

In such cases, InsightVault AI Inc. shall not be liable for any losses, damages, or claims resulting from termination.

Disclaimer of Warranties

The Software and Services are provided “AS IS” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Unless expressly stated in a signed agreement, we do not guarantee uptime, performance, or specific outcomes.

Limitation of Liability

To the maximum extent permitted by law, InsightVault AI Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use (or inability to use) the Software or Services.

Our total liability under these Terms shall not exceed the amount you paid to us in the three (3) months preceding the claim.

Legal Compliance

You agree to use the Services only in compliance with applicable laws and regulations.

Unauthorized use, resale, or exploitation of the Software may result in immediate termination and legal action.

By creating an account or using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
